Seller Terms

Effective Date: 4/9/2025
This agreement is entered between Fabtexs and the Seller , who agrees to the following terms while listing and selling through www.fabtexs.com.

1. Product Listing & Inventory

·         Seller will submit accurate product information (design name, price per meter, stock quantity, etc.) via the Fabtexs onboarding process.

·         Products once listed shall remain live unless stock is updated or withdrawn with prior notice of 48 hours.

·         Fabtexs reserves the right to edit, curate, rename, or reprice listings to fit the platform’s aesthetic and pricing policy.

2. Quality Standards

·         Sellers must maintain consistent quality standards in terms of fabric material, finishing, dyeing, and print quality.

·         If multiple complaints arise for a design or quality issue, Fabtexs may delist that product or pause future orders.

3. Fulfillment & Logistics

·         Fabtexs handles customer shipping and order delivery.

·         Seller will be notified upon receiving an order and must dispatch the ordered quantity to Fabtexs warehouse within 48 hours.

·         In case of made-to-order items, the dispatch timeline must be pre-approved and committed in writing.

4. Packaging & Branding

·         Fabtexs does not allow seller branding or marketing material in product packaging.

·         All orders will be packed and shipped under the Fabtexs brand only.

 

5. Payment Terms

·         Seller will receive payment 7 working days after successful delivery to the customer.

·         Commission/charges applicable per order (if any) will be deducted before remittance.

·         Payments will be made via bank transfer to the Seller’s registered account.

6. Returns, Damages & Penalties

·         In case of damaged or misrepresented fabric sent by the seller:

o    Seller agrees to accept return of the item and will bear the reverse logistics cost.

o    In repeated cases, penalties may apply or seller may be delisted.

·         For customer returns (not seller fault), Fabtexs may retain the item for resale depending on its condition.

7. Exclusivity (Optional Clause)

·         For limited edition or curated collections, the seller agrees to provide those SKUs exclusively to Fabtexs for a minimum of 30 days.

8. Seller Identity & Customer Privacy

·         Customer will have no access to seller’s identity, contact, or branding.

·         Seller shall not directly approach or sell to Fabtexs customers, or share Fabtexs listings externally without permission.

9. Taxes & Compliance

·         Seller is responsible for ensuring GST compliance and must provide a valid GSTIN (if applicable).

·         Fabtexs will issue tax invoices to customers and sellers will receive a monthly invoice summary.

10. Termination

·         Either party may terminate this agreement with a written notice of 15 days.

·         Pending orders must be honored, and pending payments will be cleared as per standard payout schedule.

11. Legal Jurisdiction

·         This agreement shall be governed by the laws of India.

·         Any dispute arising shall fall under the jurisdiction of MUMBAI.
